These terms govern all orders placed with USA Wholesale Suppliers LLC ("we," "us," "USA Wholesale Suppliers"). Placing an order constitutes acceptance of these terms. We may update them at any time; the version in effect on the date of your order applies to that order.
Eligibility
We sell at wholesale to licensed businesses for resale only. To open an account you must provide a valid resale certificate and Tax ID or EIN, and keep both current. We may request updated documentation at any time and may decline, suspend or close any account at our discretion. Products are not sold for personal use.
Orders
All orders are subject to acceptance and to product availability. Minimum order is $250; orders below the minimum are subject to a $15 handling charge. Once an order has entered processing it cannot be modified, and any change must be placed as a new order subject to the minimum. Backorders are created on request only, are treated as separate orders, and remain active for 30 days from the original order date. Backorders on promotional product are subject to buyer approval.
Pricing
Prices, discounts, pack sizes and promotions are subject to change without notice. Promotional pricing is valid only within the calendar month stated. We are not responsible for typographical or catalog errors and reserve the right to correct pricing errors and to cancel any order affected by one.
Payment
We accept ACH, check, wire transfer and prepayment. Credit card payments carry a 2% processing fee where permitted by law. Approved accounts may be extended Net 30 terms. Past due balances accrue interest at 1.5% per month, or the maximum rate permitted by law, whichever is less. Returned checks incur a $30 fee charged directly to the account. We may hold or cancel shipments on any account carrying a past due balance.
Title and risk of loss
Title and risk of loss pass to the customer upon delivery of the goods to the carrier at our facility. Claims for loss or damage in transit are handled under our Shipping Policy.
Resale conditions
Products must be resold in their original packaging and must not be altered, repackaged or relabeled. Certain manufacturers restrict resale on third party marketplaces or impose minimum advertised pricing; the customer is responsible for complying with those restrictions. We may decline to supply any account that violates a manufacturer's terms.
Product information and compliance
Product descriptions, images, ingredients and specifications are supplied by manufacturers and may change without notice. The customer is responsible for confirming that products purchased are legal to sell in the customer's jurisdiction and for complying with all labeling, licensing, age restriction and food safety requirements applicable to the customer's business.
Warranty disclaimer
We are a distributor and not a manufacturer. Products are sold as is, and we make no warranty of any kind, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. Manufacturer warranties, where offered, pass through to the customer.
Limitation of liability
To the fullest extent permitted by law, our total liability on any claim arising from or relating to an order is limited to the purchase price of the products giving rise to the claim. We are not liable for lost profits or for indirect, incidental, special or consequential damages, even if advised of the possibility of such damages.
Governing law and venue
These terms and all orders placed under them are governed by the laws of the State of Idaho, without regard to its conflict of law rules. Any dispute arising from or relating to these terms or to any order shall be brought exclusively in the state courts of Kootenai County, Idaho, or in the United States District Court for the District of Idaho, and both parties consent to personal jurisdiction and venue in those courts.
